Richard C. Mapp III has structured and closed more than $850 million in ESOP transactions. Rick regularly consults with selling shareholders, management and lenders, and financial and tax advisors with respect to buyout transactions and stock based incentives for privately owned businesses. His team has extensive experience designing deals and programs in a complex, inter-disciplinary environment involving ERISA, executive compensation, income tax, and corporate finance and securities law. Rick is a regional officer and national committee member in The ESOP Association, and is Chairman of the ESOPs, Employee Benefits & Executive Compensation Practice Group of Kaufman & Canoles, a large Virginia business law firm headquartered in Norfolk, Virginia.

Christopher L. McLean advises corporations and shareholders with respect to all types of M&A and corporate succession transactions, including ESOP purchases and sales, leveraged buyouts, stock sales and corporate redemptions, mergers, reorganizations, asset sales and purchases, and generational transfers. He works with corporate stakeholders in evaluating all options for an owner’s exit of the business and how to best accomplish the desired goals by taking a comprehensive approach by considering all angles from estate planning to execution of the exit transaction to governance succession. Christopher is a Mid-Atlantic Regional vice president for legislative and regulatory affairs and member of the national legislative and regulatory advisory committee of The ESOP Association as well as a member of the National Center for Employee Ownership (“NCEO”) and the Maryland Chapter of Exit Planning Exchange. He received his B.A. from the University of Virginia and his J.D., cum laude, from the University of Richmond School of Law.
